These terms are primarily intended for business clients. Mandatory consumer rights remain fully applicable to consumer assignments.

1. Parties and application

Adam El Hadidy supplies digital services under the HadidyLabs brand. These terms apply to every quotation, trial development, agreement and follow-up assignment. A signed quotation and specific agreement prevail in case of conflict. Mandatory consumer protection is never excluded.

2. Quotation and trial development

A website project starts with a written scope. No deposit is charged for the build price. HadidyLabs develops and presents the agreed website in a video call. The client then supplies one consolidated feedback round. After it is processed, a final presentation is held and the client decides whether to purchase the website.

3. No purchase

If the client decides not to purchase after the final presentation, no project fee is charged and the website is not published. The project is archived. Designs, source code, concepts and intellectual property remain with HadidyLabs and may not be used, copied or reconstructed.

4. Purchase, invoicing and launch

On purchase, HadidyLabs issues the project invoice with a 14-day payment term. Launch and the agreed management service are scheduled under the quotation. No additional changes are made between final presentation and purchase. Work outside the agreed delivery is quoted separately.

5. Planning and cooperation

A website may be ready within five working days when agreed in advance, the scope is suitable and all content, access and feedback are supplied fully and on time. Planning is a best-efforts schedule unless agreed otherwise in writing.

6. Management plan

Business websites are supplied with Managed or Managed + SEO. The minimum term is 12 months. It then continues monthly and can be terminated with one month’s notice. For consumer assignments, management, SEO, term and termination are recorded separately and in accordance with consumer law.

7. Consumer clients

When a consumer concludes a distance contract, a statutory fourteen-day cooling-off period generally applies. HadidyLabs starts during that period only at the consumer’s express request. The consumer is informed in advance about proportionate payment for services already performed and about loss of the withdrawal right once the service is fully performed with prior consent. The quotation provides separate choices and a model withdrawal form.

8. Intellectual property and licence

Until the project invoice and all other invoices are paid and the applicable minimum term has expired, designs, source code and transferable custom rights remain with HadidyLabs. The client receives a licence for the agreed purpose during the agreement. Once all conditions are met, the custom components specified in the agreement are transferred or licensed on a durable basis. Pre-existing tools, generic components, open-source software, fonts and third-party services remain with their owners.

9. Client responsibilities

The client supplies accurate, complete and lawfully usable content, instructions and access. The client remains responsible for its operations, claims, privacy grounds and required business information.

10. SEO

SEO is an ongoing process. HadidyLabs performs the agreed work with care but does not guarantee rankings, traffic, leads or revenue. Results also depend on competition, search engines, the market, content and client cooperation.

11. Availability and third parties

HadidyLabs uses reasonable efforts to provide secure and reliable services. Maintenance, internet incidents, force majeure and changes or outages at external suppliers may affect availability.

12. Liability

HadidyLabs is liable only for direct, foreseeable loss caused by an attributable failure. To the extent permitted by law, total liability is limited to fees paid for the affected service in the preceding 12 months. Indirect loss, lost profit, lost savings and data loss are excluded except in cases of intent, deliberate recklessness or where mandatory law provides otherwise.

13. Force majeure

Neither party is liable for non-performance caused by circumstances beyond reasonable control, including major outages, third-party cyber incidents, government measures, illness or failure of essential infrastructure. The parties will seek a reasonable solution.

14. Termination

Management and hosting end on the agreed date unless migration or continued service is agreed. Once ownership conditions are met, HadidyLabs can migrate the website at the then-current rate. Outstanding amounts and provisions intended to survive remain effective.

15. Complaints, disputes and law

Complaints should first be sent to info@hadidylabs.com. Dutch law governs all legal relationships. Disputes are submitted to the competent Dutch court unless mandatory law provides otherwise.
